Please read these Terms of Service (“Terms”, “Agreement”) carefully before using Calendor, an AI-powered calendar and task management application (“Service”) operated by PalmLab AI LLC (“Company”, “We”, “Us”, or “Our”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Definitions

Account means a unique account created for you to access our Service.
Application means the Calendor mobile application for iOS devices.
Company refers to PalmLab AI LLC, San Francisco, CA, USA.
Content refers to calendar events, tasks, notes, messages, and other information you create or upload through the Service.
Device means any device that can access the Service, such as an iPhone or iPad.
Service refers to the Calendor application and associated services.
Subscription means a recurring payment plan for access to premium features.
You means the individual accessing or using the Service.

2. Account Registration

To use the Service, you must:

Be at least 4 years of age (or the minimum age in your jurisdiction)
Provide accurate, complete registration information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

You may not create an account using false information or on behalf of someone else without permission.

3. Service Description

Calendor is an AI-powered calendar and task management application that provides:

Calendar event creation and management
Task and reminder tracking
AI assistant for scheduling and productivity
Natural language event creation
Smart suggestions and recommendations
Cross-device synchronization

The AI assistant is designed to help you manage your schedule. While we strive for accuracy, AI-generated suggestions should be reviewed before accepting.

4. Acceptable Use

You agree NOT to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems
Harass, abuse, or harm other users
Send spam or unsolicited communications
Impersonate others or provide false information
Interfere with or disrupt the Service
Use automated systems to access the Service without permission
Reverse engineer or attempt to extract source code

We reserve the right to terminate accounts that violate these terms.

5. Intellectual Property

Our Property

The Service, including its original content, features, and functionality, is owned by PalmLab AI LLC and protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of Content you create through the Service. By using the Service, you grant us a limited license to:

Store and process your Content to provide the Service
Use anonymized, aggregated data to improve the Service
Display your Content back to you within the application

We do not claim ownership of your personal calendar data or Content.

6. AI Features and Limitations

AI Assistant

The Service includes AI-powered features that:

Generate scheduling suggestions
Process natural language requests
Provide productivity recommendations
Analyze your calendar for conflicts and opportunities

Limitations

AI suggestions are not professional advice (legal, medical, financial, etc.)
AI responses may occasionally be inaccurate or incomplete
You are responsible for reviewing and confirming AI-generated actions
AI features may have usage limits based on your subscription plan

AI Data Processing

Your data is processed to provide AI features
We use OpenAI for AI processing (their data is not used to train models)
You can disable AI features in settings

7. Subscriptions and Payments

Free Tier

Basic features are available at no cost with usage limitations.

Premium Subscriptions

Payment is charged through your Apple ID account
Subscriptions automatically renew unless cancelled 24 hours before the end of the current period
You can manage and cancel subscriptions in your device’s Settings > Apple ID > Subscriptions

Refunds

Refunds are handled by Apple according to their App Store policies. Contact Apple Support for refund requests.

Price Changes

We may change subscription prices with reasonable notice. Price changes will not affect your current billing period.

8. Termination

By You

You may delete your account at any time through the app:

Go to Profile > Settings > Account
Tap “Delete Account”
Confirm deletion

Your account will be marked for deletion immediately and permanently removed within 30 days. You can recover your account by signing back in within this period.

By Us

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent activity
Fail to pay applicable fees
Have not accessed the Service for an extended period

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free of viruses or harmful components
The results from using the Service will meet your requirements

AI-generated content and suggestions are provided for convenience and should not be relied upon as professional advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALMLAB AI LLC SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Personal injury or property damage
Unauthorized access to or alteration of your data
Third-party conduct or content
Any damages exceeding the amount you paid for the Service in the 12 months prior to the claim

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless PalmLab AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your Content

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

13. Dispute Resolution

Informal Resolution

Before filing a formal claim, you agree to contact us at legal@palmlab.ai to attempt to resolve the dispute informally.

Binding Arbitration

If we cannot resolve the dispute informally within 30 days, either party may elect to resolve the dispute through binding arbitration administered by JAMS under its Streamlined Arbitration Rules.

Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in class actions or class-wide arbitration.

Exceptions

The following are excluded from arbitration:

Small claims court actions
Intellectual property disputes
Emergency injunctive relief

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms on this page
Updating the “Last updated” date
Sending an in-app notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PalmLab AI LLC regarding the Service.
